We are looking for a Legal Counsel to strengthen our Legal Department.


About the position

As Legal Counsel, you have an independent advisory role and shall provide professional legal advice acting as a close consultant to VARD.The position offers great professional and personal development opportunities in a demanding international environment, opportunities for professional collaboration with an established legal network, as well as the possibility of acquiring in-depth knowledge in the international shipbuilding industry.

The main focus will be to identify and assess legal risks for VARD, and to develop strategies, procedures and actions to address such risks with a focus on adding values and sustainability and with a focus on defending VARD's business, assets and reputation.

The Legal Counsel shall assist the VARD General Counsel on the following matters with a strategic and commercial mindset:

  • Advise top management and CEO both in operative short term matters as well as on strategic long term issues.
  • Assist in contract negotiations and follow up in contract execution phase, with key focus on shipbuilding contracts and other material contracts such as large supplier contracts, having a proactive role in the initial phase of a project to understand, address and reduce risks and conflicts.
  • Advice on existing and new laws and regulations that would impact VARD's business, assets and reputation, including taking key part in developing and updating compliance policies and procedures, implementation, training and reporting to ensure that VARD is in compliance with such.
  • Advise on corporate matters in general, including M&As, restructurings, financing arrangements and intragroup transactions.
  • Recommending legal strategies in response to legal issues, including threatened and actual litigations.
  • Continuously improvements of templates for key contractual documents and internal training of such.
  • Supporting CEO with arrangements of Board of Director’s Meetings and General Meetings.
  • Monitoring legal affairs in VARD subsidiaries globally, reporting to shareholders and adhering to Italian stock listing rules.
  • Coordinate use of external legal counsels.

Who are you?

You have a law degree from a recognized university and minimum 5 years relevant experience from law firm, in-house legal departments or other legal position.

Combining your expertise with your strong communication and negotiation skills, you have the ability to influence the direction of the company by sharing ideas with others and seeking improvements. You are passionate about motivating and advising colleagues and managers on all levels and have the ability to operate independently with a high degree of precision and efficiency.
